PROOF OF DEBT FORM 

This Proof of Debt is for all persons (“Scheme Creditors”) having a claim (“Scheme Claim”) against Aesen Pte. Ltd. (“Scheme Company”) arising under or in respect of the Bond Transaction Documents (as defined in the trust deed relating to the US$150,000,000 8.75 per. cent. senior secured guaranteed bonds due 2018 (ISIN XS1311942426), dated 25 November 2015 between: (i) the Scheme Company, as issuer; (ii) the guarantors and security providers named therein; and (iii) DB International Trust (Singapore) Limited (as trustee and common security agent) (including as amended, restated and/or supplemented by the scheme of arrangement between the Scheme Company, Miclyn Express Offshore Limited, MEO Finance Company Limited and the Scheme Creditors (as defined in the 2020 Scheme), approved by the High Court of Singapore (“Court”) and dated 18 March 2020, in HC/OS 107/2020, HC/OS 108/2020 and HC/OS 109/2020 (“2020 Scheme”)) and/or any related documents or transactions.

For the avoidance of doubt, the Scheme Claims include any claims in respect of any outstanding Bondholder Cash Payout, Bondholders’ Share Allocation or Early Bird Bonus under the 2020 Scheme.

Scheme Creditors are hereby notified to file a Proof of Debt setting out their entitlement to the Scheme Claims by 5:00pm Singapore time on 19 January 2026 (“Record Time”), for the purposes of a meeting (“Scheme Meeting”) to be convened for considering and voting on a compromise or arrangement under the Companies Act 1967 (“Scheme”).

Please note that Proofs of Debt delivered after the Record Time may be, at the sole discretion of the Chairman, disregarded for voting purposes at the Scheme Meeting.

Neither the Scheme Company, the Chairman nor the Information Agent shall recognise any sale, assignment, transfer or any sub-participation of any Scheme Claim after the Record Time for the purposes of determining entitlement to attend and vote at the Scheme Meeting.

Scheme Creditors whose Scheme Claims are being held on their behalf by account holders (“Account Holders”) in a clearing system will be required to procure their Account Holders to complete and submit their Proof of Debt. Scheme Creditors are strongly encouraged to approach their Account Holders as soon as possible, in order to allow ample time for your Account Holder to process your instructions and submit a Proof of Debt on your behalf.

To be eligible to participate and/or vote in the Scheme Meeting, all Scheme Creditors claiming to have a Scheme Claim against the Scheme Company listed above must file their Proof of Debt and such Proof of Debt must be received by Lynchpin Bondholder Management ("Information Agent") by 5.00pm Singapore time on 19 January 2026 (or such later date as may be ordered by the High Court of the Republic of Singapore) ("Record Time").

Unless the context otherwise requires or otherwise expressly stated, all references to “Section” in this Proof of Debt are to sections in this Proof of Debt.
